1. Acceptance of Terms
By accessing or using BreezyDoc ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
BreezyDoc is an electronic signature and document management platform that allows users to upload, send, sign, and track documents electronically. The Service includes document storage, signature capture, workflow automation, team collaboration, analytics, and related features. BreezyDoc facilitates the creation of legally binding electronic signatures in compliance with applicable electronic signature laws.
3. User Accounts
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify BreezyDoc immediately of any unauthorized use of your account. You must provide accurate, current, and complete information during registration and keep your account information updated. BreezyDoc reserves the right to suspend or terminate accounts that contain inaccurate or incomplete information.
4. Acceptable Use
You agree not to use the Service to: (a) upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (b) impersonate any person or entity or misrepresent your affiliation with a person or entity; (c) interfere with or disrupt the Service or servers or networks connected to the Service; (d) attempt to gain unauthorized access to any portion of the Service; (e) use the Service for any illegal purpose or in violation of any applicable laws or regulations; or (f) forge, manipulate, or falsify electronic signatures or documents.
5. Electronic Signatures
BreezyDoc enables users to create and apply electronic signatures to documents. By using the electronic signature features, you acknowledge that: (a) electronic signatures created through the Service are intended to be legally binding; (b) you are responsible for verifying the identity of signers; (c) BreezyDoc maintains an audit trail of signing activities for verification purposes; and (d) the legal enforceability of electronic signatures may vary by jurisdiction. BreezyDoc does not provide legal advice regarding the validity of electronic signatures in any particular jurisdiction.
6. Document Storage and Security
Documents uploaded to BreezyDoc are stored securely using industry-standard encryption and cloud storage infrastructure. While we implement reasonable security measures to protect your documents, you acknowledge that no method of electronic storage is 100% secure. You are responsible for maintaining backup copies of your important documents. BreezyDoc is not liable for any loss or corruption of documents stored on the Service.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by BreezyDoc and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain all rights to the documents and content you upload to the Service. By uploading content, you grant BreezyDoc a limited license to store, process, and display your content solely for the purpose of providing the Service.
8. Teams and Collaboration
BreezyDoc offers team collaboration features that allow multiple users to work together on documents. Team owners and administrators are responsible for managing team membership, permissions, and access controls. By inviting members to a team, you authorize those members to access team documents and features according to their assigned roles. BreezyDoc is not responsible for actions taken by team members within their authorized permissions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, BreezyDoc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; or (d) any bugs, viruses, or similar issues transmitted through the Service.
10. Termination
BreezyDoc may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may request deletion of your account and associated data by contacting our support team. Certain provisions of these Terms shall survive termination.
11. Modifications to Terms
BreezyDoc reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
12. Governing Law
These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
